2. Business Partner Agreement

This is a binding contract between New Tornado Trading ("Vehiclick") and the business that accepts it ("the Partner"). It is accepted online when the Partner subscribes, so no paper signature is needed.

2.1 How this Agreement is accepted

1. The Partner accepts by ticking the agreement box and tapping Agree & subscribe when choosing a plan. Under Qatar's E-Commerce and Transactions Law (Law No. 16 of 2010), this electronic acceptance has the same effect as a signature.
2. The person accepting confirms they are the owner or an authorised signatory of the business named in the CR, and can bind it.
3. Vehiclick records the business name, CR number, person accepting, plan, Agreement version, date, time and device, and emails the Partner a copy.
4. The Partner must accept again: when the Agreement changes, when it changes plan, and when it adds a new service type (for example, adding tow trucks to a garage). Each new service type has its own annex and documents.

2.2 What Vehiclick provides

1. An online platform to advertise the Partner's shop, services, prices and photos, and to receive and answer customer requests, chat, quote and get paid.
2. Vehiclick is only a service provider of this platform. It is not a party to any job between the Partner and a customer.
3. Vehiclick does not guarantee any number of customers, bookings or income, and listings are not exclusive.

2.3 Independent business

The Partner is an independent business. Nothing in this Agreement makes it Vehiclick's employee, agent, partner or joint venture. The Partner may not make promises or sign anything on Vehiclick's behalf.

2.4 Eligibility and documents

1. The Partner must hold a valid Qatar CR and every licence and permit its work needs, and keep them valid at all times.
2. Tow partners must give, for each truck and driver: the vehicle registration and insurance, the driver's QID and driving licence, and a business CR or individual QID.
3. All documents must be true. Vehiclick may verify them, ask for more, and refuse or remove any Partner.

2.5 Listings and content

1. The Partner is responsible for everything in its listing: services, prices, opening hours, offers and photos, and keeps them accurate.
2. The Partner confirms it owns or may use its name, logo and photos, and lets Vehiclick show them, free of charge, in the app, website, advertising and social media while this Agreement lasts.
3. Vehiclick may edit, hide or remove content that is false, misleading, offensive or illegal.

2.6 Doing the work

1. The Partner alone is responsible for its work, parts, prices, warranty, timing, staff, drivers and vehicles, and for the customer cars in its care.
2. It must follow all Qatar laws, including labour, traffic, consumer protection, environment and safety.
3. It must get the customer's approval in the app before adding work or parts, and charge only approved amounts.
4. It must answer requests in the time shown and honour the bookings it accepts.
5. Staff accounts (phone + PIN) are the Partner's responsibility; it must remove access when someone leaves.

2.7 Accident repairs

The Partner must not start repairing accident damage until it has checked the police or insurance report the customer uploaded and confirmed in the app that it matches the car.

2.8 Subscription plans and fees

1. The Partner chooses a plan (Pro or Premium, monthly or yearly) at sign-up, at the prices shown in the app.
2. Founding offer: the first 100 businesses to join, counted together across all types (garages, car washes, auto parts shops and tow partners), get 3 months free. Businesses that join after the first 100 get 1 month free. The place number is fixed when the Partner's application is approved. Yearly plans: pay 10 months, get 12.
3. Plans renew automatically at the end of each period unless cancelled in the app before the renewal date.
4. If a fee is unpaid, a 7-day grace period applies; after that the listing is paused until payment.
5. Fees for a period already started are not refundable.
6. Vehiclick may change plan prices with 30 days' notice in the app.

2.9 Commission and payouts

1. The first 5 jobs are commission-free. After that the Partner pays 7% (Pro) or 5% (Premium) of the final bill it enters when marking a job Ready.
2. Where customers pay through Vehiclick, Vehiclick collects on the Partner's behalf and pays out after deducting commission and fees, on the schedule shown in the dashboard.
3. Refunds or chargebacks for the Partner's jobs are deducted from its payouts.

2.10 No going around the platform

For customers it first met through Vehiclick, the Partner must not move the job or payment outside Vehiclick to avoid fees or commission, for 12 months after that first contact.

2.11 Customer data and confidentiality

1. The Partner may use customer details only to do the job booked, and must not sell, share or use them for marketing.
2. It must protect them under Qatar's Personal Data Privacy Protection Law (Law No. 13 of 2016) and tell Vehiclick at once of any data breach.
3. Both sides keep each other's non-public business information confidential.

2.12 Insurance

The Partner must keep suitable insurance for its premises, staff, the customer cars in its care and its tow trucks, and show proof on request.

2.13 Indemnity

The Partner will cover Vehiclick for any claim, fine, loss or cost caused by its work, parts, staff, drivers, vehicles or content, or by breaking this Agreement or the law.

2.14 Limits of Vehiclick's responsibility

1. Vehiclick provides the platform "as available" and is not responsible for customer behaviour, no-shows, unpaid bills between customer and Partner, lost income or indirect losses.
2. Vehiclick's total responsibility to the Partner is limited to the fees the Partner paid Vehiclick in the 3 months before the claim.
3. Nothing here limits liability that Qatar law does not allow to be limited, such as for fraud or gross negligence.

2.15 Suspension and ending the Agreement

1. The Partner may cancel its subscription in the app at any time; it ends at the end of the paid period.
2. Vehiclick may suspend or end this Agreement at once for fraud, false documents, expired licences, serious or repeated complaints, or breach.
3. Open jobs must be completed or cancelled fairly, and amounts owed remain payable.
4. Deleting a business account must be approved by Vehiclick support (support@vehiclick.com).

2.16 Changes, notices and law

1. Vehiclick may update this Agreement with notice in the app; the Partner must accept the new version to keep using the platform.
2. Notices are sent in the app and to the Partner's registered email.
3. This Agreement is governed by the laws of the State of Qatar. Disputes go to the competent courts of Qatar.
4. If one clause is invalid, the rest still applies. This Agreement, its annexes and the Privacy Policy are the whole agreement between the parties.

2.17 Part and accessory requests (Premium plan)

1. Premium Partners that sell the requested category (parts, lights, body parts, decoration or accessories) receive customer requests first. If no Premium Partner has the item, none quotes within 6 hours, or none sells that category, the request also goes to Pro Partners in that category. Partners receive requests with up to 4 photos and can send quotations.
2. A request is open for 24 hours. When it closes, the customer's photos are deleted. The Partner must not download, save, share or reuse customer photos.
3. A quotation must state the real price, condition (new, used, original or aftermarket), warranty and delivery or fitting cost. The Partner must honour a quotation the customer accepts.
4. Vehiclick does not guarantee any number of requests and is not responsible for the parts the Partner sells.

Hidden details. Until the customer accepts a quotation, the Partner does not see the customer's name or contact details, and the customer does not see the Partner's name or contact details. The Partner must not put its name, phone number, links, social media or other contact details in a quotation, its text or its photos, or try to contact the customer outside Vehiclick before acceptance. Doing so may lead to suspension. The same applies to company and fleet requests.
